These Terms of Service ("Terms") govern your access to and use of the Prebug platform and services (the "Service") provided by Prebug LLC ("Prebug," "we," "us," or "our"), a limited liability company organized under the laws of the State of Florida, with its principal place of business in Tampa, Hillsborough County, Florida.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Account Registration and Eligibility

1.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

1.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

1.3 Organization Accounts

If you create an organization account, you represent that you have the authority to bind that organization to these Terms. The organization will be responsible for all activities conducted under the account.

2. Service Description

Prebug provides an intelligent bug management platform that filters, deduplicates, and prioritizes bug reports before they reach your development team. Our Service includes:

• Bug report collection and processing
• Automated deduplication and filtering
• Priority assignment and categorization
• Integration with development tools and workflows
• Analytics and reporting features
• API access for custom integrations

3. Subscription and Payment Terms

3.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current pricing and plan details are available at prebug.com/pricing. We reserve the right to modify our pricing with 30 days' notice to existing subscribers.

3.2 Free Trial

We may offer a free trial period for new users. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You may cancel at any time during the trial period without charge.

3.3 Billing and Payment

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your payment method on file for all applicable fees. If automatic billing fails, we will notify you and may suspend or terminate your access until payment is received.

3.4 Refund Policy

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.

3.5 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes. You are responsible for paying all applicable taxes associated with your subscription.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any proprietary notices or labels
• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or harm other users
• Impersonate any person or entity

The Service and its original content, features, and functionality are owned by Prebug LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

You retain all rights to any content, bug reports, or data you submit to the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Service.

5.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation or compensation to you.

6. Data Privacy and Security

We are committed to protecting your data. Our collection, use, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

6.2 Data Processing

By using our Service, you acknowledge that your data may be processed in the United States and other countries where we or our service providers operate.

7. Service Availability and Modifications

7.1 Availability

We strive to provide reliable Service availability. However, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may experience downtime for maintenance, updates, or unforeseen circumstances.

7.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

8. Term and Termination

8.1 Term

These Terms remain in effect for as long as you use the Service or maintain an account with us.

8.2 Termination by You

8.3 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Extended periods of inactivity
• Requests by law enforcement or government agencies

8.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, except as required by law or as specified in our Privacy Policy. We are not liable for any loss resulting from account termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service is free from viruses or other harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREBUG LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service
• The conduct or content of any third party on the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless Prebug LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any law or the rights of a third party
• Your Content or any content you submit to the Service

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, you agree to first contact us at legal@prebug.com to seek an informal resolution.

12.2 Binding Arbitration

If we cannot resolve the dispute informally within 30 days, any remaining dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Tampa, Florida, or another mutually agreed location.

12.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

12.4 Exceptions

Either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Prebug LLC regarding the Service.

14.2 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

14.6 Force Majeure

We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
